Terms and Conditions

Welcome to Epic Video! These Terms and Conditions (“Terms”) govern your use of the Epic Video website located at https://epic.video (the “Site”) operated by PJK Holdings (“we,” “us,” or “our”). By accessing or using our Site, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Site.

1. Acceptance of Terms

By accessing or using the Site, and by placing an order, you agree to comply with and be bound by these Terms and any other legal notices or guidelines posted on the Site.

2. Changes to Terms

We reserve the right to update or change these Terms at any time. Any changes will be posted on this page, and the date of the latest revision will be indicated at the top. It is your responsibility to review these Terms periodically for any updates or changes. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

3. Use of the Site

Eligibility: Eligibility: You must be at least 18 years of age to use our Site. By using the Site, you represent and warrant that you have the legal capacity to enter into a binding agreement.

Account Registration: To access certain features of the Site, you may be required to register for an account. You agree to provide accurate and complete information during the registration process and to update such information to keep it accurate and complete. You are responsible for safeguarding your password and for any activities or actions under your account.

Customer Data Storage: Epic Video uses SPP.co as the selected Customer Relationship Management (CRM) platform. All customer data is securely stored on SPP.co. SPP.co does not hold any rights to use customer data; the data is used solely for the purpose of providing services to you.

Prohibited Conduct: You agree not to:

– Use the Site for any illegal purpose or in violation of any local, state, national, or international law.

– Interfere with or disrupt the Site or servers or networks connected to the Site.

– Use any data mining, robots, or similar data gathering or extraction methods in connection with the Site.

– Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

4. Content

Ownership: The content on the Site, including text, graphics, images, and software, is the property of PJK Holdings and is protected by copyright and other intellectual property laws.

User Content: You may have the opportunity to post or upload content to the Site (“User Content”). By posting or uploading User Content, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, distribute, and display such content in connection with the Site. You represent and warrant that you have the necessary rights to grant this license.

5. Purchases and Payments

Orders: By placing an order through the Site, you agree to pay the price listed for the service or product and any applicable taxes and fees. We reserve the right to refuse any order at any time. If we refuse your order, you will be refunded in full.

Payment Information: You agree to provide accurate and complete payment information. We use third-party payment processors to handle payment transactions. We do not store your payment information on our servers

6. Refunds and Cancellations

All sales are final and non-refundable, except as required by law or as stated in any specific terms related to a particular product or service. However, we will process a refund on first orders if customer brand guidelines are not adhered to or if the script is not followed. If we refuse your order, you will be refunded in full.

7. Limitation of Liability

To the fullest extent permitted by law, PJK Holdings shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

– Your access to or use of or inability to access or use the Site;

– Any conduct or content of any third party on the Site;

– Any content obtained from the Site; and

– Unauthorized access, use, or alteration of your transmissions or content.

8. Indemnification

You agree to indemnify, defend, and hold harmless PJK Holdings and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

9. Governing Law

These Terms and any action related thereto will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions.

10. Dispute Resolution

Any disputes arising out of or related to these Terms or the Site shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).

11. Content & Distribution Rights

PJK Holdings’ Rights:
PJK Holdings, trading as Epic Video, reserves the right to use any work we produce for promotional purposes. This includes displaying the work on our website, using it as an example in our portfolio, and sharing it with potential clients as a demonstration of our capabilities. We may also send produced work to prospective clients as examples of the work we have created to illustrate our expertise and the quality of our services. This right is perpetual and irrevocable, allowing us to showcase our work across various platforms and marketing channels.

Client Rights:
When an order is placed by a company, that company owns the rights to the footage created by Epic Video in perpetuity. The company has full ownership of the work and is free to use it indefinitely for any purpose, including distribution, broadcast, or other forms of media exploitation.

However, there are specific restrictions and conditions on the use of the content:

  • AI Usage Restrictions: Clients are not permitted to use the videos for the purpose of creating AI voiceovers or AI avatars based on the actors featured in the videos. This restriction is in place to protect the rights of the actors and to ensure that their likeness and voices are not used inappropriately or without consent. If a client violates this restriction, the actor or voiceover artist has the right to take legal action directly against the client responsible for the breach. PJK Holdings will not be held liable for any misuse of the content in violation of this clause.

  • Full Usage Rights: Clients receive full usage rights to the content provided by Epic Video, meaning they can utilize the footage across any medium, platform, or distribution method they choose, with the exception of the AI-related restrictions noted above.

  • Resale of Content: Companies and individuals are entitled to purchase and resell the videos produced by Epic Video. When a video is resold, the rights to the content are transferred to the new purchaser, and the reseller relinquishes all rights to the footage. The new owner then holds the full usage rights, subject to the same restrictions and conditions outlined above.

12. Orders

  • Intake Form and Onboarding Form: To ensure we create a video that aligns with your vision, it’s important that both the Intake Form and Onboarding Form are filled out in full before we begin your order. The more detailed the information you provide, the more accurately we can tailor the video to your requirements. This is actioned from within your portal, after an order is placed.

  • Brand and Graphics Assets: Within your portal, please provide any necessary brand and graphics assets for your project. If these are not supplied, we may need to source alternative materials, which could vary in resolution or suitability.

  • Product Demos or Descriptions: For projects involving product demos or descriptions, we will likely need access to the software or product to ensure accuracy and detail in the video. This can be provided to us from within your portal, on your intake form.

  • Script Approval: Once a script has been signed off by the customer, it is considered final. Any script changes requested after approval will require a new video order.

  • Actor and Brand Ambassador Criteria: For projects involving actors or brand ambassadors, we will not reshoot if the provided criteria (e.g., U.S. English, female actress) have been met. If you have specific requirements for your actors or brand ambassadors, please clearly communicate these on your Intake Form after placing your order.

13. Actor and Voiceover Talent Disclaimer

Epic Video collaborates with a diverse range of actors and voiceover talent, some of whom work with us exclusively, while others may work with multiple clients and agencies. While we strive to ensure that actors do not represent competing brands, due to the nature of our work with hundreds of clients across various industries, we cannot guarantee that actors featured in our videos will not appear in videos or promotional material for other websites or companies.

Epic Video is committed to supporting actor and voiceover talent by providing them with a broad range of opportunities. However, given the independent nature of the work, we are not liable if an actor or voiceover talent appears in content for competing brands or businesses. This clause reflects our dedication to both client satisfaction and the creative freedom of our talent.

By purchasing in any way from Epic Video, you agree to these terms, acknowledging that our actors and voiceover talent may also work with other clients, and that Epic Video is not liable if they appear in content for other companies, including potential competitors.
